Founder of Alexander Abramson

As the founder of Alexander Abramson, PLLC (formerly Entrepreneurship Law Firm), in Orlando, Florida, Ed has represented closely held businesses and business owners in corporate, business, and commercial law, securities, technology and intellectual property licensing, and corporate finance.

Since becoming a lawyer in 1993, Ed’s primary goal has been to provide end-to-end legal services to multi-owner businesses. He has been primary counsel to clients on a broad range of business-related legal matters including business acquisitions and sales, including broader succession planning issues, financing transactions, technology licensing, multi-owner business partnership arrangements and entity formations, LLC operating agreements, shareholder agreements, stock-option plans, and franchising arrangements. 

He is admitted to practice law in both Florida and New York.

Ed is the author of multiple books and guides that complement his legal niches, including:

  • The Guide to Partnerships and Partnership Agreements (2019),
  • The Guide to Buying a Business (2019),
  • The Guide to Selling Your Florida Law Practice (2018),
  • 10 Common and Costly Business Killing Legal Mistakes (2010).

Prior to attending law school, Ed held technical and business positions with technology companies, including with a pacemaker manufacturer, custom integrated circuit manufacturer and laser bar code manufacturer. In 1995, Ed was awarded U.S. Patent, No. 5,468,952, for his 1992 invention of a combined miniature high-speed scanner and portable handheld computer.

Ed was the 2018 Chair of the Small Business Resource Network of the University of Central Florida Small Business Development Center, has taught New Venture Finance as an Adjunct Professor for the University of Central Florida (School of Business), and was 2007 Chairman of the East Orlando Chamber of Commerce.

Suzan Abramson is a business attorney with more than thirty years’ experience in commercial transactions, corporate finance, and securities law. She focuses her practice on business and commercial contracts, securities offerings, venture capital and private equity transactions, mergers and acquisitions, business structuring, joint ventures, and entity formation.

Ms. Abramson is AV Preeminent® Peer Review rated by Martindale-Hubbell. Orlando Magazine listed her among Orlando’s best lawyers from 2010–2019, and Florida Trend Magazine included her in the Florida Legal Elite in 2019. She has been honored numerous times in U.S. News – Best Lawyers including “Lawyer of the Year” for Orlando Corporate Law in 2011 and for Orlando Securities/Capital Markets Law in 2017.

She is admitted to practice law in Florida.

As part of the fabric of the entrepreneurial community for over three decades, Ms. Abramson serves as a strategic advisor and outside general counsel for businesses across a wide spectrum of industries. She has represented businesses from their inception through their initial public offering and beyond, including:

  • Numerous start-up and emerging companies through formation, strategic development, angel and venture capital financings and sale transactions.
  • Issuers in private securities offerings, including commercial real estate, medical devices, software, consumer products, wireless telecommunications, pharmaceuticals, gaming and food service.
  • Publicly held defense electronics manufacturer through sale to public company, repurchase of significant division and subsequent sale to private equity fund.

Ms. Abramson’s transactional experience, combined with her skills as a problem-solver and legal counselor, makes her ideally suited to help growth-oriented businesses.
